    3.1. Dividend Distribution Policy*

    *Mandatory Corporate Governance principle: 1.6. The Right to Dividends 1.6.1. The Corporation has a specific and coherent dividend distribution policy. This policy is presented to the approval of shareholders at the general shareholders’ meeting and disclosed to public on the corporate website.

    *Mandatory Corporate Governance principle: 4.6.2. The principles of remuneration of board members and executives holding administrative duties should be documented in writing and submitted to the attention of shareholders as a separate item on the agenda of the general shareholders’ meeting and shareholders should be given the opportunity to express their opinions on this matter. The remuneration policy drawn up for this purpose is available on the corporate website.

    2. PUBLIC DISCLOSURE AND TRANSPARENCY

    2.1. Corporate Website

    2.1.1. In addition to the information required to be disclosed pursuant to the relevant legislation, the corporate web site of the Incorporation shall include the date and the number of the Turkish Trade Registry Gazette in which the amendments are published, the latest version of the Articles of Association, material event disclosures, financial reports, annual reports, prospectuses and other public disclosure documents, agendas of the general shareholders’ meetings, lists of attendants and minutes of the meetings, proxy voting application forms, mandatory information forms and similar forms prepared for share purchase offers or proxy solicitation, the company’s policy on repurchase of its own shares, if any, dividend distribution policy, disclosure policy, ethical rules established by the company, and frequently asked questions, information requests, questions and complaints received by the company and the answers given to them. Within this scope, at least the last 5 years of information shall be available on the corporate website.

    2.1.2. The shareholding composition of the Company must be disclosed in a manner to be updated at least once in every 6 months, in such a way as to show the full names of the real person shareholders holding more than 5% of the Company’s shares, the amount and proportion of their shares, and the type of their shareholding privileges, net of indirect and cross shareholding relationships.

    2.1.4. The information available on the website is prepared in a manner to ensure that the content is entirely identical to Turkish for the benefit of international investors, and also in foreign languages selected according to the need.

    3.1.2. Moreover, the Company sets up a compensation policy for its employees and discloses it to the public through the corporate website.

    ARTICLE 41 – (1) In addition to the information required to be included in the websites of the corporations pursuant to the regulations of the Board and the Turkish Commercial Code, the information and documents stipulated to be disclosed to the public within the scope of article 40 of this Communiqué shall also be included.
